A customer is any natural or legal person who maintains a business relationship with SPRECO (Thailand) Co,Ltd. The General Terms and Conditions, the Terms and Conditions of Delivery and Payment and the Privacy Policy may be amended from time to time. SPRECO (Thailand) Co,Ltd asks you to read these provisions carefully each time you visit the website and each time you order goods.

Unless expressly agreed otherwise in writing, these General Terms and Conditions shall apply exclusively. Conflicting, supplementary or deviating terms and conditions require the express written confirmation of SPRECO (Thailand) Co.,Ltd in order to be valid. When using this website or ordering goods, the Customer fully accepts these General Terms and Conditions, including delivery and payment terms.

Should individual provisions of these General Terms and Conditions prove to be invalid or unenforceable or become invalid or unenforceable, this shall not affect the validity of the remaining provisions.

3. prices

The prices quoted by SPRECO (Thailand) Co, Ltd include VAT unless expressly stated otherwise. Prices are quoted in Euro and/or USD.

Unless otherwise agreed, any shipping costs will be charged additionally and must be paid by the customer. The shipping costs are shown separately and are based on the current rates of logistics service providers such as DHL, UPS and others.

All changes, errors and misprints excepted. In particular, SPRECO (Thailand) Co.,Ltd may make price and other changes at any time without prior notice. The sales prices do not include consulting and support services.

4. conclusion of contract

The offers on this website represent a non-binding invitation to the customer to order products and/or services from SPRECO (Thailand) Co.,Ltd. An order can be placed by e-mail (preferably), telephone, fax or letter. By placing an order, the Customer submits a legally binding offer to conclude a contract. SPRECO (Thailand) Co.,Ltd then generally sends an “order confirmation” by email, which merely documents that SPRECO (Thailand) Co.,Ltd has received the Customer’s offer. This does not yet constitute a contract.

Orders placed are binding for the customer. Unless expressly agreed otherwise, the customer has no right of return or withdrawal.

The contract is only concluded by a declaration of acceptance by SPRECO (Thailand) Co.,Ltd or (implied) by dispatch of the ordered goods.

Orders will only be delivered after full payment has been received (exception: delivery against invoice) and if the goods are available. If it becomes apparent after conclusion of the contract that the ordered goods cannot be delivered or cannot be delivered in full, SPRECO (Thailand) Co.,Ltd is entitled to withdraw from the entire contract or from part of the contract. If the Customer’s payment has already been received by SPRECO (Thailand) Co.,Ltd, the payment will be refunded to the Customer in full or in part. If no payment has yet been made, the Customer shall be released from the obligation to pay. SPRECO (Thailand) Co.,Ltd is not obliged to make a replacement delivery in the event of the contract being terminated.

5. payment options and retention of title

The customer may use the payment options specified in the order confirmation (usually prepayment to our company account at Siam Commercial Bank).

SPRECO (Thailand) Co, Ltd reserves the right to exclude customers from individual payment options or to insist on advance payment without giving reasons.

SPRECO (Thailand) Co,Ltd may charge default interest of 5% per year and a reminder fee of Euro/USD 20 per reminder if the Customer is in default of payment. The Customer expressly acknowledges the costs charged by SPRECO (Thailand) Co,Ltd for collection and damages caused by default.

The products delivered to the customer remain the property of SPRECO (Thailand) Co.,Ltd until full payment has been received. SPRECO (Thailand) Co,Ltd reserves the right to withhold or refuse further deliveries in the event of non-acceptance of ordered goods or late payment. In such cases, the customer accepts to compensate SPRECO (Thailand) Co.,Ltd for the damage caused thereby.

6 Delivery, obligation to inspect, notification of defects and returns

Deliveries are generally sent by logistics service provider or courier service to the address specified by the customer in the order. The invoice will be sent by email. The benefit and risk shall pass to the customer upon dispatch, insofar as this is legally permissible.

If the delivery cannot be delivered or if the customer refuses to accept the delivery, SPRECO (Thailand) Co.,Ltd can withdraw from the contract and charge the costs for the expenses.

The customer is obliged to inspect the delivered goods immediately upon receipt and to notify SPRECO (Thailand) Co.,Ltd immediately in writing by email or letter of any defects for which SPRECO (Thailand) Co.

Returns to SPRECO (Thailand) Co.,Ltd shall be at the Customer’s expense and risk. The customer must send the goods in their original packaging, complete with all accessories and together with copies of the delivery bill and the original invoice and a detailed description of the defects to the return address specified by SPRECO (Thailand) Co,Ltd (in the imprint).

If the inspection by SPRECO (Thailand) Co.,Ltd shows that the goods have no detectable defects or that they are not covered by the manufacturer’s warranty, SPRECO (Thailand) Co.,Ltd may charge the customer for the costs, return shipment or possible disposal.

7. warranty

SPRECO (Thailand) Co.,Ltd endeavors to deliver goods of perfect quality. Warranty claims expire 24 months after delivery of the goods. The limitation period begins with the delivery of the goods. Unless otherwise agreed in writing, the statutory provisions on the commencement of the limitation period, suspension of expiry, suspension and recommencement of limitation periods shall remain unaffected.

It is at the discretion of SPRECO (Thailand) Co.,Ltd to fulfill the warranty by equivalent replacement or by refunding the purchase price. Further claims are excluded.

The warranty does not cover normal wear and tear/use or the consequences of improper handling or damage by the customer or third parties or defects attributable to external circumstances. The warranty for consumables and wearing parts is also excluded.

SPRECO (Thailand) Co,Ltd is unable to give any assurances or guarantees for the topicality, completeness and correctness of the data or for the constant or uninterrupted availability of the website, its functionalities, integrated hyperlinks and other content. In particular, it is neither assured nor guaranteed that the use of the website will not infringe the rights of third parties that are not owned by SPRECO (Thailand) Co.,Ltd.
